Code of Conduct

In order to increase the trust of GMF Personnel, Shareholders, stakeholders, and a wide society upon the application of Good Corporate Governance principles on the Company, PT Garuda Maintenance Facility Aero Asia (“GMF”) has committed to form and maintain the Company’s reputation according to the legal rules, moral rules or business ethics.

The company’s attitudes are significantly reflected on the attitude of its business actors. In managing this attitude, GMF needs to declare in writing the ethical values which will be made as its policy and standard of attitudes greatly expected or even obliged for its business actors. Said statement and values are contemplated in what so called a Code of Conduct.

On June 19th 2014, Board of Commissioners together with Board of Directors of GMF had committed and updated the Company’s Code of Conduct, containing the guidelines for acting and behaving in daily work performances to all GMF Personnel. The update on Code of Conduct is done by GMF for the Company’s adjustment toward the dynamics of business development and as an act to follow up the recommendation from GCG assessmentresult on 2013.

Code of Conductcontains of guidelines for acting and behaving in order to be in accordance with business ethics, work ethics. GMF’s Code of Conduct, in general, regulates about:

  1. GMF Core Values, namely Concern for People, Integrity, Professional, Teamwork, and Costumer Focused;
  2. Business Ethics regulating on the compliance toward regulation of laws, receipt of gifts, bribes and gratuities, Company’s concern toward occupational health, safety and environment, as well as Company’s commitment to the stakeholders;
  3. Work Ethics regulating on the Commitment of GMF Personnel inside and outside the Company, Commitment as the superior, Commitment as the subordinate, Commitment to notes, documents and information, Commitment to Corporate asset, Commitment to conflict of interest, Commitment to political activity, behaviors of immoral, narcotics, drugs, gambling and smoking, as well as keeping confidentiality of the Company, and;
  4. Application and Enforcement of Code of Conduct

Code of Conduct is obliged to be applied by GMF Personnel in all Company’s managements. In the implementation of commitment realization on the application of this Code of Conduct, GMF personnel is obliged to sign the statement of compliance and integrity to the Code of Conduct of GMF.

Dalam rangka meningkatkan kepercayaan Insan GMF, Pemegang Saham, stakeholders dan masyarakat luas atas penerapan prinsip-prinsip Tata Kelola Perusahaan yang Baik pada Perusahaan, PT Garuda Maintenance Facility AeroAsia (“GMF”) berkomitmen untuk membentuk dan menjaga reputasi Perusahaan sesuai dengan aturan hukum, aturan moral atau etika bisnis.

Perilaku perusahaan secara nyata tercermin pada perilaku pelaku bisnisnya. Dalam mengatur perilaku ini GMF perlu menyatakan secara tertulis nilai-nilai etika yang menjadi kebijakan dan standar perilaku yang diharapkan atau bahkan diwajibkan bagi setiap pelaku bisnisnya. Pernyataan dan nilai-nilai tersebut dituangkan dalam Code of Conduct.

Pada tanggal 19 Juni 2014, Dewan Komisaris bersama Direksi GMF telah berkomitmen dan memutakhirkan Pedoman Perilaku Perusahaan yang berisi panduan dalam bertindak dan berperilaku dalam pelaksanaan kerja sehari-hari bagi seluruh Insan GMF. Pemutakhiran Pedoman Perilaku dilakukan GMF dalam rangka penyesuaian Perusahaan terhadap dinamika perkembangan bisnis dan sebagai bentuk tindaklanjut dari rekomendasi hasil GCG assessment tahun 2013.

Pedoman Perilaku/ Code of Conduct berisi panduan dalam bertindak dan berperilaku  agar sesuai dengan etika bisnis, etika kerja. Pedoman Perilaku GMF secara umum mengatur tentang:

  1. Nilai-nilai inti GMF (GMF Values) yaitu Concern for People, Integrity, Profesional, Teamwork, dan Costumer Focused;
  2. Etika Bisnis yang mengatur tentang kepatuhan terhadap peraturan perundangan, penerimaan hadiah, suap dan gratifikasi, kepedulian Perusahaan terhadap kesehatan, keselamatan dan lingkungan kerja, komitmen Perusahaan kepada stakeholders;
  3. Etika Kerja yang mengatur tentang Komitmen Insan GMF di dalam dan di luar Perusahaan, Komitmen  sebagai atasan, Komitmen sebagai bawahan, Komitmen terhadap catatan, dokumen dan informasi, Komitmen terhadap aset Perusahaan, Komitmen terhadap benturan kepentingan, Komitmen terhadap kegiatan politik, perilaku asusila, narkoba, obat terlarang, perjudian dan merokok, menjaga rahasia Perusahaan, serta;
  4. Penerapan dan Penegakan Pedoman Perilaku

Code of Conduct wajib diaplikasikan oleh Insan GMF di seluruh jajaran Perusahaan. Dalam pelaksanaan perwujudan komitmen penerapan Pedoman Perilaku ini, insan GMF diwajibkan untuk menandatangani pernyataan kepatuhan dan integritas terhadap Pedoman Perilaku GMF.
